Angus Consulting Inc. ("Angus") provides its Web site to you subject to your compliance with these Terms and Conditions and all applicable laws.

BY ACCESSING AND USING THE WEB SITE, YOU ACCEPT THESE TERMS AND CONDITIONS WITHOUT LIMITATION OR QUALIFICATION. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, DO NOT USE THE WEB SITE.

THE WEB SITE CONTENT IS THE PROPERTY OF ANGUS, AND IS PROTECTED FROM UNAUTHORIZED COPYING AND DISSEMINATION BY A VARIETY OF INTELLECTUAL PROPERTY LAWS. 1. Modifications and Updates
Angus reserves the right to change these Terms and Conditions at any time. To keep visitors informed, Angus Management will notify users of changes to our Terms and Conditions by prominently identifying such change for a period of not less than two weeks on our home page at www.angusmanagement.com.

You agree to review these Terms and Conditions periodically and, in any event, each time you visit the Web site. By using the Web site, you expressly agree that you have had sufficient notice of any changes in the Terms and Conditions as posted from time to time. Your continued use of the Web site constitutes your agreement to abide by and be bound by these Terms and Conditions as modified.

Subject to your full compliance with all of these Terms and Conditions, Angus authorizes you to view the Content, make a single copy of it, and to print that copy, but only for your own lawful, personal, non-commercial use, and provided that you maintain all copyright, trademark and other intellectual property notices contained in such Content, and provided that the Content, or any part thereof, is not modified. You agree not to modify, reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate any Content without the prior express written permission of Angus.

3. Reliance on Content
The information contained in any such Content on the Web site is for general informational purposes only. Nothing in any Content on the Web site shall be regarded or relied upon as scientific, technical, commercial, financial, legal or other advice. Angus does not assume any responsibility or liability in connection with your use of or reliance on any Content. Periodically, Angus may amend the Content as it so chooses.

4. No Unlawful or Prohibited Use
As a condition of your use of the Web site, you represent and warrant that you will not use the Web site for any purpose that is unlawful or prohibited by these Terms and Conditions or any applicable laws. You may not upload to, or distribute or otherwise publish through the Web site without the prior express written permission of Angus and, in any event, you many not upload to, or distribute or otherwise publish through the Web site any Content that is any of the following:

  • Libelous, defamatory, obscene, pornographic, abusive, harassing or threatening, or otherwise objectionable to Angus in our sole discretion;
  • Contains computer viruses, worms, moles or other contaminating or destructive elements;
  • Violates the rights of others, such as Content that infringes any copyright, trademark, patent, trade secret or other intellectual property right, or violates any right of privacy or publicity;
  • Contains any false or misleading statement;
  • Contains advertising; or
  • Otherwise violates any applicable criminal or civil law.

You may not use the Web site for any commercial purpose and may not distribute over the Web site any solicitation of funds, goods and services. In addition, you may not use the Web site to solicit subscribers to join other online information services that are, or may in future be, competitive with the Web site.

5. Responses To Online Requests
From time to time, Angus may offer to provide information or materials via e-mail or otherwise to interested persons in response to specific on-line requests made by such persons. Angus reserves the right, in its absolute discretion, to reject any requests for such information or materials, or to discontinue the provision of such information or materials to any person, at any time, for any reason it may so chose without prior notice or liability.

6. Site Access and Availability
As a consequence of our actions or those of our service providers or others, the Web site may become unavailable to you as a result of planned or unplanned maintenance activities, or of a malfunction in computer hardware or software, or for other reasons. Under no circumstances whatsoever does Angus accept any responsibility or liability for your use of or access to the Web site. You shall be solely responsible for any consequences of your access to the Web site including, but not limited to, ensuring that any information or Content obtained from the Web site does not contain any virus, worm, mole or any other computer software code or subroutine designed to disable, erase, impair or otherwise damage your computer or other systems, software, or data. 8. Limitation on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ANGUS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, WHETHER FORESEEABLE OR UNFORESEEABLE, BASED ON CLAIMS (INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR DAMAGES FOR LOSS OF PROFITS OR LOSS OF BUSINESS OPPORTUNITIES, DELAY OR INABILITY TO USE THE WEB SITE, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OR CORRUPTION OF FILES, ERRORS, DEFECTS, DELAYS IN PREPARATIONS OR TRANSMISSIONS) ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE WEB SITE WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE.

Angus may provide links to third party Web sites for your convenience. We do not endorse or have control over any information contained on any linked Web site, and do not represent or warrant them or the content they may contain as acceptable for any use whatsoever. You are advised to check for yourself that the terms and conditions of use and privacy undertakings of such third party sites are acceptable to you. Angus accepts no liability whosoever for your use of any third party Web site.

10. General Provisions
This Agreement constitutes the entire agreement between Angus and you pertaining to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Angus with respect to the Web site. A printed version of this Agreement and of any notice given in electronic form shall be advisable in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Angus's failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provisions or right. If any of the provisions contained in this Agreement are determined to be void, invalid or otherwise unenforceable by a court of competent jurisdiction, such determination shall not affect the remaining provisions contained herein. This Agreement shall be governed by and construed in accordance with the laws of the province of British Columbia and the laws of Canada applicable therein. The parties expressly request and require that this Agreement and any related documents be drawn up solely in the English language.
